  • Business descriptions.

  • Contact information.

  • Legal notices.

  • Testimonials.

Client-provided content must be delivered in a reasonably usable format.


9. CLIENT RESPONSIBILITIES

The Client agrees to:

  1. Provide accurate information.

  2. Provide required materials.

  3. Provide necessary account access.

  4. Respond to questions reasonably promptly.

  5. Review drafts and deliverables.

  6. Provide approvals or requested changes.

  7. Maintain active third-party accounts when required.

  8. Maintain ownership or authorization for supplied content.

  9. Make payments according to the agreed schedule.

  10. Notify the Provider of material changes affecting the project.

Delays caused by missing information, unavailable access, late approvals, or Client-requested changes may affect the project schedule.


10. THIRD-PARTY SERVICES

The project may depend on third-party Services, including:

  • Domain registrars.

  • WordPress plugins.

  • Software platforms.

  • APIs.

  • Payment processors.

  • Email providers.

  • Advertising platforms.

  • Analytics platforms.

  • Social media platforms.

  • Stock media providers.

  • AI platforms.

  • Other external Services.

Third-party Services are subject to their own terms, pricing, availability, licensing, and technical limitations.

Unless expressly stated otherwise, the Provider does not control third-party Services.


11. THIRD-PARTY FEES

Unless expressly included in this SOW, the Client is responsible for third-party expenses.

  • Hosting fees.

  • Advertising budgets.

The Provider may issue a revised quote, Change Order, or amended SOW before beginning substantial additional work.

22. NON-PAYMENT

  • Exercise other contractual rights.

Project delays caused by non-payment may extend the estimated completion date.


23. PROJECT PAUSE

The Provider may pause a project when:

  • Required Client information is missing.

  • Required access is unavailable.

  • An invoice is overdue.

  • The Client requests a pause.

  • A material scope issue requires clarification.

  • A third-party dependency prevents progress.

  • Continuing would reasonably require unauthorized additional work.

Restarting a paused project may require schedule adjustments.


24. PROJECT CANCELLATION

Project cancellation will be handled according to the applicable Master Service Agreement, Refund, Cancellation & Returns Policy, and any project-specific terms.

Work already performed, non-refundable expenses, third-party fees, and other amounts owed may remain payable where permitted by the applicable agreement and law.


25. ACCEPTANCE OF DELIVERABLES

A deliverable may be considered accepted when:

  • The Client provides written approval.

  • The Client confirms acceptance electronically.

  • The Client publishes or deploys the deliverable.

  • The Client begins using the deliverable commercially.

  • The Client fails to identify a material non-conformity within the applicable review period.

Acceptance does not eliminate rights or remedies that cannot legally be waived.


26. MATERIAL NON-CONFORMITY

If a Client reasonably believes that a deliverable materially fails to conform to the specifications in this SOW, the Client should notify the Provider in writing and identify the specific issue.

The Provider will have a reasonable opportunity to review and, where appropriate, correct the identified issue.


27. WEBSITE LAUNCH

If applicable, the Website launch may occur after:

  • Required content is received.

  • Client approvals are completed.

  • Applicable payments are current.

  • Required third-party accounts are active.

  • Technical requirements are satisfied.

  • The Client authorizes launch.

The Provider is not responsible for delays caused by unavailable domains, hosting, DNS, third-party accounts, or Client approvals.


28. WEBSITE MAINTENANCE

Unless expressly included, Website development does not automatically include ongoing maintenance.

Maintenance may include:

  • WordPress updates.

  • Plugin updates.

  • Security monitoring.

  • Backups.

  • Content updates.

  • Technical support.

  • Performance optimization.

Such Services require separate authorization unless expressly included in this SOW.


29. SEO SERVICES

If SEO is included, the specific SEO deliverables are:

33. CLIENT REVIEW OF AI-GENERATED CONTENT

The Client is responsible for reviewing final business-critical content before publication where appropriate.

This is particularly important for:

  • Legal claims.

  • Medical information.

  • Financial information.

  • Pricing.

  • Product specifications.

  • Regulatory statements.

  • Business credentials.

  • Professional claims.


34. INTELLECTUAL PROPERTY

Ownership and licensing of project materials will be governed by the applicable Master Service Agreement and this SOW.

Unless expressly stated otherwise, payment for Services does not automatically transfer:

  • Pre-existing Provider materials.

  • Templates.

  • Frameworks.

  • Reusable code.

  • General know-how.

  • Processes.

  • Third-party licensed materials.

  • Proprietary systems.


35. CLIENT INTELLECTUAL PROPERTY

Client-owned materials remain the Client’s property, subject to the rights necessary for the Provider to perform the Services.

The Client represents that it has the necessary rights or authorization to provide materials used in the project.


36. PROVIDER INTELLECTUAL PROPERTY

The Provider retains ownership of pre-existing systems, templates, frameworks, processes, methodologies, reusable components, and general know-how unless expressly transferred in writing.


37. PORTFOLIO USE

Unless the applicable agreement states otherwise, the Provider may identify completed work as part of its professional portfolio after public release.

45. ELECTRONIC ACCEPTANCE

Project-specific pricing, scope, deliverables, and timelines contained in this SOW will govern the applicable project where properly authorized.


47. ENTIRE PROJECT SCOPE

The Parties acknowledge that the Services and deliverables described in this SOW represent the agreed scope for the project as of the Effective Date.

Additional Services require additional authorization unless otherwise stated.

This SOW should be read together with the applicable:
